General Terms and Conditions for Layzee Studio

These General Terms and Conditions apply when you contact, order, or purchase services from Layzee Studio, operated by DAGMUS5 (EI).
 

These terms apply to services related to design, branding, print, digital solutions, websites, systems, technical support, and other related services.
 

By accepting a quotation, ordering a service, paying an invoice, or otherwise starting a collaboration with Layzee Studio, you accept these terms.

2. Our Services

Layzee Studio provides services including, but not limited to:

Design and Branding

Logos, visual identities, color palettes, typography, patterns, graphic elements, branding presentations, menus, flyers, business cards, signs, social media materials, and other visual assets.

Print and Production

Printing of business cards, flyers, menus, signs, table numbers, decals, posters, window graphics, packaging, promotional materials, workwear, and other printed products.

Digital Services

Landing pages, websites, booking systems, ordering systems, 3D modeling, wayfinding, indoor tracking, camera solutions, technical support, and live avatar assistants.

The exact scope of the service is defined in the quotation, written agreement, email communication, invoice, or other project confirmation.
 

3. Quotations and Orders

A quotation from Layzee Studio is based on the information provided by the customer at the time of inquiry.

The quotation may include:

  • Scope of the service

  • Price

  • Delivery timeline

  • Number of included revisions

  • What is included and excluded

  • Payment terms

  • Any project-specific conditions

An order is considered approved when the customer accepts the quotation in writing, pays an invoice, approves project start, or otherwise confirms that the work should begin.

If the customer later wishes to add new elements, change the scope, or request work not included in the original quotation, this may be considered additional work and billed separately.
 

4. Customer Responsibilities

In order for Layzee Studio to perform the work, the customer is responsible for providing accurate, clear, and complete information.

The customer is responsible for:

  • Providing necessary materials on time

  • Checking that texts, prices, contact details, and other information are correct

  • Ensuring they have the right to use any material submitted to Layzee Studio

  • Providing feedback within a reasonable timeframe

  • Reviewing proofs, design proposals, and final deliveries

  • Approving materials before printing, publishing, or delivery

  • Informing Layzee Studio of any important requirements, regulations, or restrictions related to the project

Layzee Studio is not responsible for errors caused by incorrect, incomplete, or delayed information from the customer.
 

5. Project Process

A project may normally include the following stages:

  • Inquiry and needs analysis

  • Quotation or pricing proposal

  • Approval of quotation

  • Collection of materials and information

  • Planning, research, and production

  • Initial delivery or design proposal

  • Feedback and revisions

  • Final approval

  • Final delivery, publishing, or printing

  • Invoicing and project completion

The project process may vary depending on the service and scope.
 

6. Revisions and Changes

The number of included revisions is specified in the quotation or project agreement.

Unless otherwise stated, only the revisions explicitly agreed upon are included.

A revision generally means minor adjustments to an existing proposal, such as:

  • Color changes

  • Minor text edits

  • Layout adjustments

  • Image replacements

  • Minor design corrections

The following are normally not considered standard revisions and may be billed separately:

  • A new design direction after approval of a concept

  • Major changes to the project scope

  • New materials requiring rework

  • Format changes after final design completion

  • New pages, functions, or design variations

  • Changes after final approval

  • Changes after materials have been sent to print

Additional revisions are billed according to separate agreement.
 

7. Delivery Times

Delivery time depends on the scope of the project, customer response time, access to materials, third parties, and any print or production timelines.

Layzee Studio always aims to follow agreed timelines, but delivery may be affected by:

  • Delayed customer feedback

  • Delayed customer materials

  • Changes to the project scope

  • Technical issues

  • Delays from print suppliers, vendors, or external services

  • Illness, force majeure, or circumstances beyond our control

If the customer does not provide feedback or materials within a reasonable time, the project may be paused or delivery timelines adjusted.
 

8. Printing and Production

For print projects, the customer is responsible for carefully reviewing and approving proofs before materials are sent to print.

After proof approval, Layzee Studio is not responsible for errors the customer had the opportunity to identify before approval, including:

  • Spelling errors

  • Incorrect prices

  • Incorrect contact information

  • Incorrect opening hours

  • Incorrect menu information

  • Incorrect quantities

  • Incorrect images

  • Incorrect dimensions or placements

Colors may differ between screen and printed material due to differences in digital display, printing technology, materials, paper, color profiles, and production methods.

Print costs depend on quality, material, size, quantity, delivery, and supplier.

Once a print project has been approved and sent to production, it generally cannot be canceled or changed without additional costs.
 

9. Digital Services

For digital services such as websites, landing pages, booking systems, and ordering systems, the agreed scope specified in the quotation or project description applies.

Layzee Studio is responsible for delivering the agreed solution according to the approved scope.

The customer is responsible for:

  • Domain and hosting, unless otherwise agreed

  • Login credentials and access to necessary accounts

  • Texts, images, product information, and other content

  • Ensuring website information is accurate

  • Rights to any materials used

  • Licenses, subscriptions, apps, plugins, or third-party services

Layzee Studio is not responsible for downtime or changes caused by external platforms, hosting providers, payment providers, booking systems, plugins, apps, APIs, or other third-party services.
 

10. Payment

Payment is made according to the invoice, quotation, or separate agreement.

Layzee Studio may offer payment through:

  • Invoice

  • Bank transfer

  • Card payment

  • Stripe

  • PayPal

Other payment methods may be available upon agreement.

For larger design, branding, print, or digital projects, payment may be divided into two parts:

  • 50% upon project start

  • 50% after the selected design concept and before or during the first revision round

The initial payment covers project setup, analysis, research, planning, creative work, administration, and development of the design direction.

Once the customer selects a design concept and the first revision round begins, the remaining 50% of the project cost becomes due.

Layzee Studio reserves the right to pause or terminate work if payment is not made according to agreement.
 

11. Payment Terms and Late Payment

Payment must be made according to the payment deadline specified on the invoice.

Unless otherwise stated, invoices are due within 14 days from the invoice date.

If payment is not made on time, Layzee Studio may issue a payment reminder.

If payment is still not received after the reminder, a late fee or interest may be added in accordance with applicable regulations or separate agreement.

Layzee Studio reserves the right to pause the project, withhold deliveries, delay publication, or refuse further work until payment has been received.
 

12. Invoicing and Accounting

Invoices and accounting documentation are stored in accordance with applicable bookkeeping laws. Accounting records are generally required to be stored for 7 years after the end of the relevant financial year.

Layzee Studio may therefore need to retain certain information even if the customer requests deletion, where required for accounting, contractual, legal, or dispute-related purposes.
 

13. Cancellation and Project Pauses

The customer may request that a project be canceled or paused.

If a project is canceled before work has started, and before analysis, research, planning, or production has begun, any initial payment may be refunded.

If work has already started, Layzee Studio reserves the right to charge for completed work, planning, research, administration, meetings, production, purchases, and other costs incurred before cancellation.

If the customer fails to respond, provide materials, or give feedback for an extended period, Layzee Studio may pause the project. If the customer later wishes to resume the project, the timeline and pricing may need to be updated.
 

14. Refunds

The initial 50% payment covers project initiation, analysis, research, planning, and preparatory work.

Once this work has started, the initial payment is non-refundable.

The customer may cancel the project before work has begun. If the project is canceled before analysis, research, planning, or production starts, the initial payment may be refunded.

If the customer cancels the project after work has started, after research has been conducted, or after design presentations have been delivered, the initial payment will not be refunded.

Once the customer has selected a design concept and the first revision round begins, the remaining 50% of the project price becomes due.

If the customer terminates the project after selecting a design concept or after revisions have begun, Layzee Studio reserves the right to charge for the remaining agreed work.

Refunds are generally not provided for:

  • Completed work

  • Research, analysis, and planning

  • Approved design proposals

  • Delivered files

  • Started or completed print production

  • Custom-made products

  • Digital products or files already delivered

  • External costs already paid

  • Scheduling, planning, or project management already performed

If a refund is approved, administrative costs, payment fees, or costs for completed work may be deducted.
 

15. Right of Withdrawal for Consumers

If the customer is a consumer and the agreement is concluded remotely, the customer may in some cases have a 14-day right of withdrawal. The Swedish Consumer Agency states that consumers generally have a 14-day withdrawal period for distance purchases, such as purchases made online.

However, the right of withdrawal may be limited or no longer apply when:

  • The service has started with the customer’s explicit approval

  • The customer requested immediate commencement of the work

  • The product is customized or personalized

  • Materials have been specifically produced for the customer

  • Print production has started

  • Digital files have been delivered

  • The work has already been fully or partially completed

The consumer right of withdrawal generally does not apply to businesses.

16. Ownership of Final Design

Once the customer has paid the full agreed project price, ownership of the final approved design transfers to the customer unless otherwise agreed in writing.

This includes, for example, final logos, final print files, completed graphic elements, menus, business cards, flyers, posters, and other finished materials included in the project.

The customer therefore receives the right to use the final design for their business, marketing, and communication.

Layzee Studio does not claim ownership of the final approved logo or final design after full payment has been received.

Working files, sketches, drafts, presentations, ideas, unused concepts, editable source files, and project files are only included if explicitly stated in the quotation or separately agreed upon.

Examples of editable source files may include:

  • Adobe Illustrator files

  • Photoshop files

  • InDesign files

  • Figma files

  • Canva templates

  • Other editable project files

If editable source files are not included, they may be purchased separately through separate agreement.
 

17. Portfolio and Marketing Use

The customer agrees that Layzee Studio may display completed projects in its portfolio and marketing.

This may include:

  • Layzee Studio’s website

  • Social media

  • Presentations

  • Marketing materials

  • Design case studies

  • Competitions, nominations, or similar contexts

Layzee Studio may display the project to showcase its work, services, and creative capabilities.

If the customer does not want the project to be displayed publicly, this must be communicated in writing before the project begins.
 

18. Confidentiality

Layzee Studio respects customer privacy and handles information, materials, and project content with care.

We do not share the customer’s internal information, materials, business ideas, files, or project information with unauthorized third parties without the customer’s approval.

However, information may need to be shared with relevant collaborators or suppliers when necessary to complete the project, such as print providers, technical suppliers, or production partners.

Separate confidentiality agreements may be established if needed.
 

19. Customer Responsibility for Materials and Rights

The customer is responsible for ensuring that all materials provided to Layzee Studio may legally be used in the project.

This includes materials such as:

  • Images

  • Texts

  • Logos

  • Fonts

  • Icons

  • Illustrations

  • Product photos

  • Graphic materials

  • Other customer-provided content

The customer guarantees that the material does not infringe any copyrights, trademarks, or other intellectual property rights.

If a claim, dispute, or damage arises because of material provided by the customer, the customer is responsible for it.

Layzee Studio is not responsible for rights-related issues caused by materials submitted or requested by the customer.
 

20. Third-Party Materials, Fonts, and Licenses

Projects may include third-party materials such as:

  • Fonts

  • Stock photos

  • Icons

  • Mockups

  • Templates

  • Plugins

  • Apps

  • Platforms

  • APIs

  • Payment systems

  • Booking systems

The customer is responsible for costs, licenses, and usage rights related to third-party materials unless otherwise agreed.

Layzee Studio is not responsible for customer use of third-party materials beyond the permitted license or intended usage.
 

21. Personal Data

Layzee Studio processes personal data in accordance with our Privacy Policy.

Customer personal data may be processed for handling contact, quotations, projects, payments, deliveries, support, and marketing.

Companies processing personal data within the EU are required to comply with GDPR and applicable data protection laws.

22. Limitation of Liability

Layzee Studio is responsible for performing agreed services professionally and according to the agreed scope.

Layzee Studio is not responsible for:

  • Indirect damages

  • Loss of profits

  • Lost business opportunities

  • Problems caused by third parties

  • Errors caused by customer-provided information or materials

  • Delays caused by late customer feedback

  • Downtime on external platforms

  • Color differences between screen and print

  • Results from marketing, sales, or campaigns

  • Technical issues beyond our control

Layzee Studio may provide advice and recommendations, but the customer remains responsible for their own business decisions, content, legal obligations, and final use of delivered materials.
 

23. Complaints

If the customer believes there is an issue with a delivery, the customer must contact Layzee Studio as soon as possible.

Complaints should be sent to:

The customer must clearly describe the issue and provide relevant information or examples.

Layzee Studio will have the opportunity to investigate the matter and, if the issue is caused by Layzee Studio, correct it within a reasonable timeframe.

Issues approved by the customer during proofing, design approval, or final delivery are generally not considered valid complaints.
 

24. Force Majeure

Layzee Studio is not responsible for delays or obstacles caused by circumstances beyond our control.

Examples include:

  • Illness

  • Power outages

  • Internet outages

  • Technical problems with suppliers

  • Strikes

  • War

  • Government actions

  • Natural disasters

  • Pandemics

  • Transportation issues

  • Problems with printers or third-party services

In cases of force majeure, delivery times may be extended or projects paused until work can continue.
 

25. Changes to the Terms

Layzee Studio may update these General Terms and Conditions when necessary.

The latest version will always be available on the website.

For ongoing projects, the terms in effect at the time the project was approved will normally apply unless otherwise agreed.
 

26. Governing Law and Disputes

These terms shall be interpreted in accordance with applicable law.

In the event of a dispute, the parties shall first attempt to resolve the matter through dialogue.

If the dispute cannot be resolved through dialogue, it may be brought before a competent court or other relevant authority in accordance with applicable regulations.
